These Terms of Service (“Terms”) govern all services provided by Palmside Agency (“Palmside”, “we”, “us”) to you, the client (“you”). By paying a deposit, accepting a quote, or checking the box at checkout, you agree to these Terms.
Palmside Agency is a trade name of Agence Jules E-commerce, a sole proprietorship registered in France (SIRET 93914256800012). Contact: contact@palmsideagency.com.
1. Services
We design and build websites and provide related digital services, including Google Business Profile setup, search engine optimization (SEO), and optional monthly maintenance.
The content of each website package (Essentials, Starter, Growth) is described on our pricing page at the time you pay your deposit. Premium and e-commerce projects are defined in a written quote, which forms part of these Terms.
Any work outside the package or quote you purchased (additional pages, features, integrations or services) is quoted separately and only starts once you approve it in writing.
2. Pricing and Payment
All prices are in US dollars.
Website projects are paid in two installments:
- a 50% deposit, paid before work begins. Your project is booked once the deposit is received;
- the remaining 50% balance, due on delivery, before your website is launched on your domain or handed over to you.
Payments are processed securely by Stripe. We never see or store your card details.
Third-party costs are not included unless your package states otherwise. This includes domain name registration, paid plugins or apps, premium stock photography, e-commerce platform subscriptions and advertising spend. These are paid by you, directly to the provider or re-invoiced at cost.
3. Timeline
The project timeline starts once we have received both your deposit and all the content we need from you (texts, logo, photos, business information, access to your domain and accounts).
On average, websites go live within 7 business days after we receive your content. This is an estimate, not a guarantee. Larger packages, custom features and revision rounds can extend it.
If you don’t have content ready, we can help you put it together. Any delay in providing content, feedback or approvals extends the timeline accordingly.
If we don’t hear from you for 30 days while we are waiting on you, your project is paused. If we don’t hear from you for 90 days, the project is closed, and the deposit is kept as payment for the work already done. You can reopen a closed project at our current rates.
4. Your Responsibilities
You agree to:
- provide accurate business information and content;
- only send us content (texts, images, logos, videos) that you own or have the right to use. You are responsible for any claim arising from content you provide;
- review our work and send feedback within a reasonable time;
- keep access to your domain and accounts available to us when needed for the project.
5. Revisions
Each website package includes 2 rounds of revisions during the build.
A revision round is a single, consolidated list of changes sent to us at once. Changes to the agreed structure or scope (new pages, new features, a completely different design direction) are not revisions and are quoted separately.
Additional revision rounds are billed at our standard hourly rate, quoted to you in advance. Nothing extra is charged without your approval.
6. Delivery and Approval
When your website is ready, we send you a preview link.
You have 7 days to request your included revisions or to approve the website. If we receive no response within 7 days of delivering the final revision round, the website is considered approved and the balance becomes due.
Your website goes live on your domain, or is handed over to you, once the balance is paid.
7. Ownership
Once your project is paid in full, the website design, content and files belong to you, 100%.
Until full payment, all work remains the property of Palmside.
We keep the right to display your website, its design and screenshots in our portfolio and marketing, unless you ask us not to in writing. This does not apply to Founding Client projects, where portfolio use is a condition of the offer (see section 10).
Tools, templates, code libraries and methods we use across projects remain ours. You receive a license to use them as part of your website.
8. Maintenance Plan (Optional)
A monthly maintenance plan is optional. It is offered on delivery of your website, and you are free to decline it.
The plan includes:
- hosting and SSL certificate;
- security and software updates;
- regular backups;
- small content updates (for example changing text, images, hours, prices or contact details on existing pages). New pages, new features or redesigns are not small updates and are quoted separately;
- basic SEO upkeep;
- support by email, text or phone. Small updates are typically handled within 24 hours on business days.
Price: $49.99/month for Essentials and Starter, $99/month for Growth, as shown on our pricing page. Premium maintenance is defined in your quote.
The plan is billed monthly and renews automatically. There is no minimum commitment. You can cancel at any time with 30 days’ notice by email to contact@palmsideagency.com. Cancellation takes effect at the end of the billing period following the notice. Months already started are not refunded.
If a payment fails, we will notify you. If the payment remains unpaid 15 days after it was due, hosting and services may be suspended until payment is made. After 30 days unpaid, the plan is cancelled.
We may change maintenance prices with at least 30 days’ notice by email. You can cancel before the new price applies.
9. Websites Without a Maintenance Plan
If you don’t take a maintenance plan, or if you cancel it, we hand over all your website files and give you what you need to host it yourself, at no extra cost.
We can keep your website online on our hosting for up to 14 days after delivery or cancellation, to give you time to move it. After that, hosting, security, updates and backups are your responsibility.
10. Founding Client Offer
The Founding Client offer gives you the full Starter package at a reduced price. In exchange, you agree to:
- provide a short video testimonial within 30 days after your website goes live;
- let Palmside feature your website, your business name and your testimonial as a case study in our portfolio, website, social media and advertising.
The offer is limited to 3 clients and cannot be combined with any other discount.
11. No Guaranteed Results
We build websites and carry out SEO work designed to help you get found and get more customers. However, search rankings, traffic, leads and sales depend on many factors outside our control, including search engine algorithms, competition, your market and your own business.
We do not guarantee any specific ranking, traffic, number of leads or revenue. Any figures shown on our website describe typical or past results, not a promise.
12. Refunds and Cancellation
Our refund rules are set out in our Refund Policy, which forms part of these Terms.
13. Limitation of Liability
We work carefully, but no website is ever 100% free of errors or downtime.
To the maximum extent permitted by law, Palmside is not liable for any indirect or consequential loss, including loss of profit, revenue, data or business opportunity.
Our total liability for any claim related to our services is limited to the total amount you paid us in the 12 months before the claim.
We are not responsible for the services of third-party providers (hosting platforms, domain registrars, e-commerce platforms, payment processors, plugins), even if we set them up for you.
14. Confidentiality
We keep your business information, accounts and access credentials confidential and only use them to deliver our services.
15. Changes to These Terms
We may update these Terms from time to time. The version that applies to your project is the one in force when you paid your deposit. For maintenance plans, changes apply after 30 days’ notice by email.
16. Governing Law
These Terms are governed by the laws of the State of Florida. Any dispute will first be discussed in good faith between us. If it cannot be resolved, it will be brought before the competent courts of Miami-Dade County, Florida.
